To the extent that Fishtech Group, LLC (“Fishtech”) provides you (“You”) with a copy of the Fishtech SOC 2 Report (the, “Report”), it is furnished to You subject to the terms and conditions set forth below (the, “Terms”).
The information contained in the Report is confidential and proprietary to Fishtech and must be treated in accordance with the standard of care specified herein. Access to the Report is provided for Your sole use and You may disclose the Report only to Your officers, directors or employees that are under obligations of confidentiality and non-disclosure with a ‘need to know’ the information contained therein. You shall not make copies of the Report and shall not disclose the Report to any third party without written consent of Fishtech. You shall protect the confidentiality of and take commercially reasonable steps to prevent disclosure or unauthorized use of the Report in order to prevent it from falling into the public domain or the possession of persons not generally bound to maintain its confidentiality.
You are solely responsible for determining whether the information contained in the Report is applicable to Your needs. As such, neither the Report, nor Fishtech allowing access to the Report, should be considered a certification, representation or warranty, express, or implied, of any kind by Fishtech. The Report is provided “AS IS” and any access or use of the Report by any party is at such party’s own and sole risk. Any dissemination or distribution of the Report other than as set forth above is strictly prohibited.
You recognize that the unauthorized use or disclosure of the Report may give rise to irreparable injury and damage to Fishtech. You hereby agree that Fishtech shall be entitled to seek and obtain injunctive relief against the breach or threatened breach of these Terms, without proving actual damages or posting bond or other security, and such equitable relief shall be in addition to any other legal or equitable remedies that may be available to Fishtech.
The failure of Fishtech to enforce or insist upon compliance with any of these Terms or the waiver of any term or condition hereof shall not constitute the permanent waiver of any term or condition set forth herein, and these Terms and each of its provisions shall remain at all times in full force and effect.
